The Stadium's Holding Company Looks to the Future

The subscription period for new shares in the holding company, "An der Alten Försterei" Stadionbetriebs AG, has been successfully completed and marks a further milestone in the development of the Stadion An der Alten Försterei. After the capital increase has been entered in the commercial register, the Stadion AG, with its over 10,000 shareholders, will have a share capital of more than €30 million.

FC Union Berlin and chairman of the supervisory board of the “An der Alten Försterei” Stadionbetriebs AG. "I am delighted that so many Union fans have chosen to take this route and personally invest in their stadium. We will continue to pursue this path and push ahead with plans for the new Alte Försterei."

Successful share subscription and ownership structure

After existing shareholders were able to exercise their subscription rights from 26 November 2024, members, sponsors and partners of 1. FC Union Berlin were invited to become stadium owners by subscribing to new shares from 10 December 2024 to 5 February 2025. A total of around 49,000 new shares were applied for.

1. FC Union Berlin e.V. themselves used their right and subscribed for 40,000 shares. It already held the majority of the shares in ‘An der Alten Försterei’ Stadionbetriebs AG with 6,847 shares. In addition, 900 other existing shareholders showed interest and applied for around 1,500 shares. Previously, the existing shareholders held 5,599 shares in free float. More than 5,900 new shareholders were added, participating in the capital increase with around 7,900 subscribed shares, thus underpinning their very personal commitment to the Stadion An der Alten Försterei.

After the capital increase, there will likely be a change in the shareholder structure, with a total of around 61,850 shares now subscribed. 1. FC Union Berlin e.V. will then be expected to hold 75.75% of the shares. The free float, consisting of existing and new shareholders, will then likely comprise 24.25%.

In the coming months, the company will implement the next steps of the capital measure, including the entry of the new shares in the commercial register and the update of the shareholder structure where the exact result of the capital increase and the update of the shareholder structure can be seen. The new shares will then be issued.
